These Terms & Conditions ("Terms") govern your use of deftapt.com (the "Site") and the services offered by DeftApt Solutions Inc. ("DeftApt," "we," "us," or "our"). By using the Site or engaging our services, you agree to these Terms.
1. Description of Service
DeftApt operates a curated matching platform connecting businesses ("Clients") with independent administrative, executive assistant, and social media specialists ("Specialists") on a retainer basis. DeftApt is not a staffing agency and does not employ Specialists directly. DeftApt is not an open marketplace in which Clients browse and directly select Specialists without curation; rather, DeftApt reviews inquiries and applications and proposes matches based on stated needs and vetted qualifications. Specialists are independent contractors and are not employees, agents, or partners of DeftApt.
2. Eligibility
Use of the Site and our services is intended for businesses and professionals. By submitting an inquiry or application, you confirm that you are at least 18 years old and, where applicable, have the authority to act on behalf of any business you represent.
3. Client Inquiries and Engagements
Submitting the contact form does not create a binding engagement. An engagement begins only once a Client Service Agreement is signed by both DeftApt and the Client, at which point the terms of that agreement govern the engagement, including scope, deliverables, and pricing specific to that engagement.
4. Specialist Applications
Submitting a specialist application does not guarantee acceptance into DeftApt's specialist network. All applicants are subject to a review and vetting process at DeftApt's discretion. Acceptance and the ongoing terms of a Specialist's relationship with DeftApt, including confidentiality, non-solicitation, and intellectual property terms, are governed by a separate Specialist Partner Agreement signed upon approval.
5. Engagement Terms
This Site provides information about DeftApt's services and allows you to submit an inquiry or application. Fees, deliverables, payment terms, and other commercial terms for a specific engagement are not set out on this Site and are governed exclusively by the Client Service Agreement (for Clients) or Specialist Partner Agreement (for Specialists) applicable to that engagement, each signed separately by the relevant parties.
6. Intellectual Property
The Site's content, design, and branding are the property of DeftApt and may not be copied, reproduced, or used without our prior written permission. This Section does not affect ownership of work product created under a specific Client-Specialist engagement, which is governed separately by the agreement applicable to that engagement.
7. Confidentiality
Information shared through inquiries, applications, or in the course of an engagement is treated as confidential and is used only for the purposes described in our Privacy Policy and the applicable signed agreement governing that relationship.
8. Limitation of Liability
DeftApt strives to keep this Site accurate, secure, and available, but does not guarantee uninterrupted access, complete accuracy of Site content (including Specialist profiles once published), or that the Site will be error-free. To the maximum extent permitted by applicable law, DeftApt is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of, or inability to use, this Site. Liability arising from a specific Client or Specialist engagement is governed exclusively by the Client Service Agreement or Specialist Partner Agreement applicable to that engagement, not by these Terms. Nothing in this Section limits any liability that cannot be excluded or limited under applicable law.
9. Termination
DeftApt reserves the right to decline any inquiry or application, and to suspend or terminate access to the Site or our services, at our discretion, including for violation of these Terms, non-payment, or conduct that DeftApt reasonably determines to be harmful to DeftApt, another Client, or another Specialist.
10. Governing Law
These Terms are governed by the laws of Canada and, to the extent a provincial law applies, the laws of the Province of Ontario, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in Ontario, Canada, for any dispute arising out of or relating to these Terms.
11. Changes to These Terms
We may update these Terms from time to time. Continued use of the Site after a revised version is posted constitutes acceptance of the revised Terms.
